End User License Agreement

This End User License Agreement ("EULA") governs each individual user's use of the Dr Practice OS software and applications ("Software") made available by Kintah LLC. It supplements the Terms of Use.

1. License grant

Subject to your practice's active subscription and these terms, Kintah LLC grants each authorized user a limited, non-exclusive, non-transferable, revocable license to access and use the Software for your practice's internal operations.

2. Restrictions

You may not: (a) copy, modify, or create derivative works of the Software; (b) reverse engineer, decompile, or disassemble it except as permitted by law; (c) rent, lease, sublicense, or provide it to third parties; (d) remove proprietary notices; or (e) use it to build a competing product.

3. Accounts are personal

Licenses are per named user. Credentials must not be shared. Access is governed by the role and capabilities assigned to your account, consistent with the "minimum necessary" principle for PHI.

4. Updates

The Software is delivered as a service and may be updated automatically. This EULA applies to all updates unless accompanied by separate terms.

5. Ownership

The Software is licensed, not sold. Kintah LLC and its licensors retain all right, title, and interest in the Software.

6. Termination

This license terminates automatically if you breach it or when your practice's subscription or your account is terminated. On termination you must stop using the Software.

7. Disclaimer and liability

The Software is provided "as is". Kintah LLC's liability is limited as set out in the Terms of Use. The Software does not render medical advice.
